2.1 Eligibility

You must be at least 18 years old or have legal authority to represent an educational institution to create an account. By creating an account, you represent and warrant that you have the authority to bind your educational institution to these Terms.

2.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Use strong, unique passwords
• Not share account credentials with unauthorized persons
• Immediately notify us of any unauthorized access or security breach
• Ensure proper logout from shared devices

2.3 Account Suspension

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or pose security risks to the Service.

3. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:

The Service is designed for legitimate educational purposes. Schools are responsible for ensuring that all users comply with applicable educational regulations and institutional policies.

4. Subscription & Payment Terms

4.1 Subscription Plans

4.2 Payment Processing

All payments are processed through secure third-party payment processors. We do not store your complete payment card information. You are responsible for all applicable taxes.

4.3 Refund Policy

Annual plans include a 30-day money-back guarantee. Monthly plans are non-refundable. Refund requests must be submitted in writing to billing@academicszone.com.

5. Intellectual Property Rights

5.1 Our Intellectual Property

The Service and its original content, features, and functionality are owned by Academics Zone and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

5.2 Your Content

You retain all rights to the educational content you upload to the Service. By uploading content, you grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, and display your content solely for the purpose of providing the Service.

5.3 Feedback

Any feedback, suggestions, or ideas you provide regarding the Service may be used by us without any obligation to you.

6. Data Protection & Privacy

6.1 Privacy Policy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices.

6.2 Data Processing Agreement

For schools that require it, we offer a Data Processing Agreement (DPA) that outlines our respective responsibilities under data protection laws. Contact us to request a DPA.

6.3 Data Export

Upon request, we will provide you with an export of your data in a standard format. Data export requests may be subject to reasonable processing fees for large datasets.

7. Termination & Suspension

7.1 By You

You may terminate your account at any time by contacting our support team. Upon termination, you will lose access to the Service and all data may be permanently deleted after 30 days.

7.2 By Us

We may suspend or terminate your access to the Service immediately, without prior notice, for:

• Violation of these Terms
• Non-payment of fees for 30+ days
• Illegal or fraudulent activity
• Actions that threaten the security or stability of the Service

7.3 Data Retention After Termination

We will retain your data for 30 days after termination to allow for data export. After this period, data may be permanently deleted from our active systems, though backup copies may remain for up to 90 days.

8. Limitation of Liability

8.1 No Warranty

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, secure, or error-free.

8.2 Limitation of Damages

To the maximum extent permitted by law, in no event shall Academics Zone be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

8.3 Maximum Liability

Our total liability to you for any claims arising from or related to these Terms or the Service shall not exceed the total amount paid by you to us in the six (6) months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless Academics Zone and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with:

• Your access to or use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Any content you upload to the Service
• Your negligence or willful misconduct

10. Governing Law & Dispute Resolution

10.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Tanzania, without regard to its conflict of law provisions.

10.2 Dispute Resolution

Any disputes arising from these Terms shall first be attempted to be resolved through good faith negotiations. If negotiations fail, disputes shall be submitted to binding arbitration in Dar es Salaam, Tanzania, in accordance with Tanzanian arbitration laws.

10.3 Class Action Waiver

You agree to resolve disputes on an individual basis and waive any right to participate in class actions, class arbitrations, or representative actions.

11. Miscellaneous Provisions

11.1 Changes to Terms

We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice for material changes. Continued use of the Service after changes constitutes acceptance of the new Terms.

11.2 Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us, constitute the entire agreement between you and Academics Zone regarding the Service.

11.3 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

11.4 Force Majeure

We shall not be liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
